Terms of Service
The agreement between your dealership and RoadMatch: what the subscription includes, what it costs, and what each side is responsible for.
Effective September 1, 20261. Who this agreement is between
These Terms of Service ("Terms") are a binding agreement between Conscious Pathways LLC, doing business as RoadMatch ("RoadMatch", "we", "us"), and the dealership organization that subscribes to the RoadMatch service ("you", "your", "Customer"). By creating an account, clicking to accept, or using the service, you agree to these Terms on behalf of your dealership, and you confirm you are authorized to bind it.
If you do not agree, do not create an account and do not use the service.
2. What RoadMatch is — and what it is not
RoadMatch is software that reads your dealership's own published inventory, organizes it by branch, and helps your salespeople find units that match what a customer describes. It is a sales tool for your staff.
RoadMatch is not a dealer, broker, lender, or agent. We do not sell, consign, appraise, finance, insure, transport, or take title to any recreational vehicle, boat, or other unit. We are not a party to any transaction between you and your customer, and we make no representation to your customers on your behalf.
- We do not set, approve, or verify your prices.
- We do not verify title, lien, damage, warranty, recall, or roadworthiness status of any unit.
- We do not provide legal, tax, financing, or regulatory advice.
- Every statement made to a retail customer remains your dealership's statement, not ours.
3. Your account and your team
The person who completes setup owns the dealership workspace and may invite salespeople and administrators. You are responsible for everyone you invite: their use of the service is your use of it.
You must keep credentials confidential, use accurate account information, and tell us promptly at team@roadmatch.app if you believe an account has been compromised. You are responsible for all activity under your accounts.
Accounts are for your dealership's own staff. Do not share a login between people, resell access, or provide access to a competitor of RoadMatch.
4. Your inventory data and your customer data
You direct RoadMatch to read the inventory website you supply during setup, and you confirm you have the right to authorize that. You keep ownership of your inventory data, your customer records, your notes, and everything else you or your staff put into the service ("Customer Data").
You grant us a limited licence to host, process, transmit, display, and analyze Customer Data solely to provide and support the service, to keep it secure, and to meet legal obligations. We do not sell Customer Data.
You are the controller of the customer records your salespeople enter. You are responsible for having a lawful basis to collect them, for honouring your own privacy commitments, and for complying with laws that govern contacting consumers — including the Telephone Consumer Protection Act, state telemarketing and do-not-call rules, and applicable email rules. RoadMatch does not obtain consent on your behalf.
5. Inventory accuracy is not guaranteed
RoadMatch reads the inventory your dealership publishes. What we can show is limited by what that source says, and dealer websites routinely list units that are not physically on the lot — units in transit from a factory, units on order, and catalog or "web display only" placeholder entries that have no unit behind them at all.
We make no warranty that inventory shown in RoadMatch is complete, current, in stock, available, or physically present at any branch. Confirm availability before you promise a customer a unit or schedule a showing.
6. Artificial intelligence features
RoadMatch uses automated and AI systems, including third-party large language and vision models, to interpret search requests, read listing photographs, and rank matches. AI output can be incomplete, out of date, or wrong.
See our AI Disclosure for the full explanation of how these features work and what you must verify before relying on them. That disclosure forms part of these Terms.
7. Subscription, billing, and automatic renewal
The subscription is $5,000 per location, per year. You may pay $5,000 billed once for the year, or $416.67 billed monthly across a twelve-month commitment. The monthly option is an instalment plan for a twelve-month term — it is not a month-to-month subscription and it cannot be ended mid-term.
New dealerships receive a 14-day free trial. A valid payment method is required to start the trial. If you do not cancel before the trial ends, the paid subscription begins automatically and your payment method is charged.
Subscriptions renew automatically for successive twelve-month terms at the then-current price unless you cancel before the renewal date. We will give you reasonable advance notice of any price change before it applies to a renewal. You can cancel at any time from the Billing page in your workspace or by emailing team@roadmatch.app.
Payments are processed by Stripe. You authorize us and Stripe to charge your payment method for all amounts due. Fees are exclusive of taxes, which you are responsible for. Amounts unpaid after their due date may accrue interest at the lower of 1.5% per month or the maximum the law allows, and we may suspend access to accounts that remain past due.
Full cancellation and refund terms — including the commitment that fees paid are non-refundable — are set out in our Refund and Cancellation Policy, which forms part of these Terms.
8. Acceptable use
You agree to use RoadMatch lawfully and in line with our Acceptable Use Policy, which forms part of these Terms. We may suspend access without notice where we reasonably believe continued use would break the law, harm another customer, or threaten the security of the service.
9. Our intellectual property
RoadMatch, including its software, interface, models, prompts, documentation, and branding, is owned by us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service during your subscription. No other rights are granted.
You may not copy, modify, reverse engineer, decompile, scrape, benchmark for publication, or create derivative works from the service, or use it to build a competing product.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
10. Third-party services
RoadMatch depends on third-party providers for hosting, payments, email, and AI processing. A list is published in our Subprocessors page. We are not responsible for the acts, omissions, availability, or content of third parties, including your own inventory website provider.
11. No guarantee of results
We do not promise that RoadMatch will increase your sales, leads, close rate, gross, or any other business outcome. Any figure, example, or demonstration shown in our marketing is illustrative only and is not a projection of what your dealership will achieve.
12. Disclaimer of warranties
To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranty of any kind. We expressly disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage.
We do not warrant that the service will be uninterrupted, timely, secure, or error-free, that AI output will be accurate, or that defects will be corrected. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost sales, lost goodwill, or loss of data, even if advised such damages were possible.
Our total aggregate liability arising out of or relating to the service or these Terms will not exceed the amounts you actually paid us for the service in the twelve months immediately before the event giving rise to the claim.
These limits do not apply to your payment obligations, to either party's liability for fraud or wilful misconduct, or to anything that cannot be limited under applicable law.
14. Indemnity
You will defend, indemnify, and hold harmless RoadMatch and its officers, employees, and agents from any third-party claim, loss, or expense (including reasonable legal fees) arising from your Customer Data, your use of the service, your representations to your customers, your sale or advertising of any unit, or your breach of these Terms or of applicable law.
15. Suspension and termination
You may stop using the service at any time, subject to the Refund and Cancellation Policy. We may suspend or terminate access for material breach, non-payment, or unlawful use, and will normally give notice and a chance to cure where it is reasonable to do so.
On termination, your right to use the service ends. You may export your Customer Data before your term ends. We may delete Customer Data after the retention period described in our Privacy Policy.
16. Changes to these Terms
We may update these Terms. For material changes we will give reasonable notice — by email to the account owner, in-product, or both — before they take effect. Continuing to use the service after the effective date means you accept the updated Terms. If you do not accept them, stop using the service and contact team@roadmatch.app.
17. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules.
18. Dispute resolution, arbitration, and class-action waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION, AND IT WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Informal resolution first. Before starting an arbitration, the party raising the dispute will send written notice to the other describing the claim and the relief sought — to team@roadmatch.app if the claim is against RoadMatch. The parties will then try in good faith to resolve it for sixty days. This step is a condition of starting an arbitration, and the limitation period is paused while it runs.
Agreement to arbitrate. If the dispute is not resolved, any claim arising out of or relating to these Terms or the service — whether based in contract, tort, statute, or any other theory, and including claims that arose before these Terms took effect — will be settled by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be held in Sheridan County, Wyoming, or by videoconference or on written submissions if both parties agree. One arbitrator will decide. The arbitrator's award may be entered as a judgment in any court with jurisdiction.
Class-action waiver. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR OTHER REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one party's claims, may not preside over any form of representative proceeding, and may award relief only to the individual party seeking it and only to the extent needed to satisfy that party's own claim. If this paragraph is found unenforceable as to a particular claim or request for relief, that claim or request is severed from the arbitration and must be brought in court under the venue provision below, while every remaining claim proceeds in arbitration.
Who decides what. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this section, except that a court decides whether the class-action waiver above is enforceable.
What is not covered. Either party may bring an individual claim in small-claims court if it qualifies, and either party may ask any court of competent jurisdiction for injunctive or other equitable relief to protect its intellectual property or confidential information, without first arbitrating.
Your right to opt out. You may reject this arbitration and class-waiver section by emailing team@roadmatch.app within thirty days of first accepting these Terms, with your dealership name, the account email, and a statement that you opt out of arbitration. Opting out affects nothing else in these Terms, and it will not be held against you. If you opt out, disputes are resolved in the courts identified below.
Court venue. Where a dispute is not subject to arbitration — because it was severed, because you opted out, or because a court holds arbitration does not apply — the parties submit to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, and each party waives any objection to that venue.
Fees. Arbitration filing, administration, and arbitrator fees are governed by the AAA rules. Each party bears its own legal fees unless the arbitrator awards them under a statute or contract provision that allows it.
Survival. This section survives termination of these Terms and closure of your account.
19. General
These Terms, together with the policies they incorporate, are the entire agreement between the parties about the service. If any provision is unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
